BY PARTICIPATING IN THE AWARD, YOU AGREE TO THESE OFFICIAL RULES, WHICH INCLUDE LIMITATIONS OF YOUR RIGHTS AND REMEDIES, INCLUDING AN AGREEMENT TO SUBMIT ANY DISPUTE RELATED TO THIS AWARD, OR THESE OFFICIAL RULES TO BINDING ARBITRATION RATHER THAN PROCEEDING IN COURT. IF YOU DO NOT AGREE TO THESE OFFICIAL RULES DO NOT PARTICIPATE IN THE AWARD. YOUR PARTICIPATION DEMONSTRATES YOUR AGREEMENT TO THESE OFFICIAL RULES.

1. OVERVIEW

   The Cytek Award (“Award”), sponsored by Cytek Biosciences, Inc. (“Cytek”), begins at 8 AM PDT on October 29, 2025, and ends at 11:59 PM PST on January 29, 2026 (the “Award Period”).

2. ELIGIBILITY

   The Award is open only to:

   1. Institutions, organizations, and business entities eligible to participate through an authorized representative that is a legal resident of the United States or Canada, and
   2. Individuals who are at least eighteen (18) years old or who have attained the age of majority in their state, province, or country of primary residence as of the start of the relevant Award Period.

   The Award is not open to any person who is a citizen or permanent resident of any country on which the United States has embargoed goods/services and/or imposed sanctions (e.g., Cuba, Iran, North Korea, Sudan, or Syria), or to whom Cytek would otherwise be prohibited from awarding a prize by applicable U.S. export controls and sanctions or other applicable law. Entrants must not be government officials or employees of government-affiliated entities, or distributors of flow cytometers or similar instruments. Employees, officers, directors, members, managers, agents, and representatives and family members of such individuals (or people living in the same household whether related or not) of Cytek, or their respective corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest and advertising, promotion, and public relations agencies, as well as any other entity participating in the design, administration, or fulfillment of the Award (collectively, the “Sponsor Entities”) are not eligible to win. For purposes of this Award, “family members” is defined as any spouse, domestic partner, parent, legal guardian, sibling, child, legal ward, grandparent, grandchild, or the spouse or domestic partner of any such person. This Award is void where prohibited by law. Cytek reserves the right to verify eligibility and compliance with applicable anti-bribery, anti-corruption, and internal ethics policies prior to awarding any prize.

3. HOW TO ENTER
   1. Meet the eligibility requirements set forth above.
   2. Only one (1) entry may be submitted per Award Period. Multiple submissions are prohibited. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Cytek.
   3. Complete the registration form included in Cytek contest award email, and located here. After completing this registration form, entrants will be directed to provide their contact information for Cytek to be able to notify the winner.
   4. Entries will be accepted online during the Award Period.
   5. Entries are also accepted using the “Alternative Method of Entry” (AMOE) by mailing your name and email address to 47215 Lakeview Boulevard, Fremont, California 94538. Entrants will be added once for mail in request received. Entrants submitting AMOE entries do not need to complete the registration form detailed in subsection c. above.
   6. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Cytek. Cytek reserves the right in its sole discretion to disqualify from the Award any entrant that (i) refers, depicts, or in any way reflects negatively upon Cytek, any one of the Sponsor Entities, the Award or any other person or entity, or (ii) does not comply with any provision of these Official Rules, including the above submission requirements.
4. WINNER SELECTION & NOTIFICATION

   There will be one (1) total winner in this Award for the Award Period. The prize drawing shall occur on February 3, 2026. Please allow up to three (3) months from the date of the drawing for delivery of the prize. Cytek is not responsible for delays due to shipping, customs, availability, or other circumstances beyond its control. Cytek or its representative will attempt to notify the potential winner in this Award within ten (10) business days. Eligible entrants will be selected by random draw from among all eligible entries received during the Award Period. The odds of winning depend on the number of eligible entries received during the Award Period. Entries will not be judged. The potential winner may, in Cytek’s sole discretion, be required to complete, sign, have notarized (if applicable), and return an certain affidavits or liability releases (unless prohibited by law), tax documents, and related prize-acceptance or release documentation, if applicable (collectively, “Prize Documentation”), any or all of which may require the potential winner to provide taxpayer identification number and a copy of a government-issued identification or number therefrom, within the time frame specified and in the form provided by Cytek (without revision), or prize may be forfeited. The Prize Documentation, if applicable, must be received by Cytek within the time frame as stated in the Prize Documentation, or prize may be forfeited and an alternate winner may be selected. If any prize, prize notification, or other Award-related communication is returned as undeliverable, or if a selected winner cannot be reached or does not respond as instructed after Cytek has attempted to notify that potential winner, that selected winner may be disqualified and an alternate winner may be selected (time permitting and in Cytek’s sole discretion). Cytek reserves the right to modify the notification procedures in connection with the selection of any alternate potential winner, if any. The prizes, if legitimately claimed, will be awarded. Cytek will not be obligated to pursue more than three (3) alternate winners (time permitting) for any prize for any reason. If there are fewer entries received than available prizes, Cytek reserves the right to award only as many prizes as there are eligible entries, in which case any remaining prizes will go unawarded.

   To be declared a winner, any selected entrant who is a resident of Canada must sign a release form and correctly answer a skill-testing question administered by Cytek, as required by law.

5. PRIZES

   The prize for the Award Period is one (1) Cytek^® Northern Lights^™ flow cytometer valued at $203,941.00 (individually, “Prize” and collectively, “Prizes”). Actual/appraised value may differ at the time of prize award.

   BY ACCEPTING A PRIZE IN THIS AWARD, ANY INDIVIDUAL WINNER REPRESENTS THAT ACCEPTING THE PRIZE IS IN COMPLIANCE WITH WINNER’S CORPORATE GIFT RECEIVING OR SIMILAR POLICY, INCLUDING ANY AND ALL NOTIFICATION OBLIGATIONS AN ENTRANT MAY HAVE TOWARDS ITS EMPLOYER UNDER SUCH POLICIES. The specifics of the Prizes shall be solely determined by Cytek. No cash or other prize substitution shall be permitted except at Cytek’s discretion. No substitution of a Prize or transfer/assignment of a Prize to others or request for the cash equivalent by winner is permitted. All taxes applicable to winning the Prizes will be the responsibility of the person that submitted the winning entry and any tax forms that must be filed by Cytek under applicable law will be filed in that person’s name. All taxes (national, federal, state, provincial, territorial, local, or otherwise), social security payments or other fees (including those applicable in your jurisdiction of primary residence) and other expenses not specified in these Official Rules as being provided as part of the Prizes are the sole responsibility of the winner. The winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any Prize. Cytek is not responsible for any inability of the winner to accept or use any Prize (or portion thereof) for any reason. Winners are encouraged to consult with their own tax, legal, and financial advisors regarding the tax implications of accepting the Prize. Cytek is not responsible for any tax obligations incurred as a result of receiving the prize, nor for advising winners on their specific tax situation.

6. ADDITIONAL DISCLAIMERS

   To the extent permitted by the mandatory provisions of the applicable law, neither Cytek nor any of the Sponsor Entities are responsible and/or liable for any of the following, whether caused by a Sponsor Entity, the entrant or by human error (however, only if required by law in your jurisdiction, except to the extent that any of the following occur for reasons within Cytek’s reasonable control, where liability to the injured party cannot be excluded by law): entries earned by illegitimate means (such as, without limitation, by an automated computer program) or entries earned in excess of any stated limits; any lost, late, incomplete, illegible, mutilated, or misdirected email, mail, or Award-related correspondence or materials; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos or misprints in these Official Rules, in any Award-related materials; failures of electronic equipment, computer hardware or software; lost or unavailable network connections. Without limiting any other provision in these Official Rules, Sponsor Entities are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the prize or any part thereof in the event that any of the Award activities or the Sponsor Entities’ operations or activities are affected, as determined by Cytek in its sole discretion.

   By participating in the Award, the entrant agrees on behalf of the entrant and the entrant’s institution or company to release, discharge, indemnify and hold harmless Cytek and the Sponsor Entities from all liability for any injury, loss or damage, due in whole or part, directly or indirectly, to the participation in the Award or acceptance, possession, use or misuse of the prize. NOTWITHSTANDING THE FOREGOING, THE INDEMNIFICATION OBLIGATION STATED ABOVE SHALL BE LIMITED TO CASES IN WHICH ENTRANT BREACHES THESE OFFICIAL RULES, OR AS A RESULT OF ENTRANT’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT FOR RESIDENTS OF JURISDICTIONS AS REQUIRED BY APPLICABLE LAW.

7. GENERAL RULES
   1. While it is not necessary to submit any additional content or information than the specified in your submission, Cytek will not have any responsibility or liability for any dispute regarding any entrant, or ownership of or intellectual property rights in the submission or other entrant content (“Entrant Content”). As between Cytek and each entrant, entrant retains ownership of all intellectual property rights in and to the Entrant Content.
   2. Entrant Content must not:
      1. Infringe, misappropriate, or violate any rights of any third party including, without limitation, copyright (including moral rights), trademark, trade secret, or right of privacy or publicity,
      2. Include information or content that is false, fraudulent, deceptive, misleading, defamatory, threatening, trade libelous, slanderous, libelous, disparaging, unlawfully harassing, profane, obscene, pornographic, hateful, indecent, inappropriate or injurious to any individual, any Sponsor Entity, or any third party, or
      3. Disclose any information which would constitute a violation of any confidentiality obligation or disclosure of a trade secret.
   3. Cytek reserves the right, in its sole discretion, to void entries of any entrants who Cytek believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Award. Cytek’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision.
   4. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
   5. If any person supplies false information, obtains entries by fraudulent means or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any Prize, Cytek may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law.
   6. Except where prohibited by law, as a condition of participating in this Award, each entrant agrees that any and all disputes and causes of action arising out of or connected with the Award, or any prize awarded, shall be resolved exclusively by final and binding arbitration under the rules of the American Arbitration Association (“AAA”), and held at the AAA regional office nearest Fremont, California. Each entrant waives all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than his or her actual out-of-pocket expenses (i.e., costs associated with entering the Award), and each entrant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants and Cytek in connection with the Award, will be governed by, and construed in accordance with, the substantive laws of the State of California, U.S.A., without regard to California choice of law rules.
8. PRIVACY

   Each entrant agrees to the use of the personal information submitted when they enter as detailed in Cytek’s Privacy Policy posted at Privacy Policy | Cytek Biosciences. Please note that by participating in the Award and accepting these Official Rules, you acknowledge and consent to the use of your personal information as set forth in Cytek’s Privacy Policy.
